### Article I - Offices
The principal office of the corporation shall be located in New Orleans, Louisiana.

### Article II - Stockholders
1. Annual meetings shall be held on the second Tuesday of March
2. Special meetings may be called by the Board of Directors
3. Quorum consists of a majority of outstanding shares

### Article III - Board of Directors
1. Number of directors: 3-7
2. Term: One year
3. Meetings: Quarterly minimum

### Article IV - Officers
- Chief Executive Officer
- Chief Technology Officer
- Chief Financial Officer
- Secretary

### Article V - Indemnification
The corporation shall indemnify directors and officers to the fullest extent permitted by Delaware law.
